Terms of Service
1. The service
Conduit is a control plane for software work. An organization states an outcome; Conduit plans the work, dispatches it to computers the organization connects, verifies the result with checks the organization registers, and asks the organization's owner to accept or decline the delivery. Conduit does not write to an organization's repositories or production systems except through work the organization authorized and accepted.
2. Accounts and organizations
A company account is created by a person who verifies their email address and thereby becomes the organization's Owner. The Owner is responsible for who they invite, for the computers they connect, and for the credentials those computers hold. An organization may register at most 100 users.
3. Subscription and payment
A private organization operates under a paid term: monthly (30 days) or yearly (365 days), at the price shown at checkout. Payment is made in USDC on Solana through the pr402 facilitator, from a wallet the payer controls, to Miraland Labs' merchant wallet. A term starts when the payment settles and runs for its full length. Renewal is a new payment, started from the organization's Settings; it extends the current term from its end date. There is no automatic charge. Miraland Labs may waive the fee for an organization at its discretion; a waiver is recorded and may be withdrawn with notice.
Payments settled on the blockchain are final. If a term was activated by mistake, contact us within 7 days and we will resolve it in good faith; we cannot reverse a settled transfer.
4. What you may not do
Use Conduit to run work you are not authorized to run against the target systems; connect computers or credentials you do not control; attempt to defeat the verification, acceptance or seat limits; or use the service to violate applicable law.
5. Your content and your work
Repositories, deliveries, model prompts and outputs belong to the organization. Conduit stores what it needs to plan, verify and record work — objectives, plans, delivery packets, verification evidence, audit events — and shows the owner what settled each criterion. Conduit does not train models on your content.
6. Availability and changes
Conduit is provided as-is during its field-trial period. We aim for continuous availability and announce schema windows and deploys in advance where possible, but we make no uptime warranty. We may change these terms with notice to the organization's Owner; continued use after the effective date is acceptance.
7. Liability
To the extent permitted by law, Miraland Labs' liability for any claim arising from the service is limited to the fees paid by the organization in the twelve months before the claim, and excludes indirect, consequential and lost-profit damages.
8. Termination
An organization may stop using Conduit at any time; an unpaid organization keeps read access to its records. Miraland Labs may suspend an organization that violates section 4, with notice to its Owner where practicable.
9. Governing law
These terms are governed by the law of the State of Delaware, United States.
